Hindsight Replay — End User License Agreement

This agreement is between you and dp Digital Media LLC ("we", "us") for Hindsight Replay (the "Software"). By installing or using the Software you agree to it. If you do not agree, do not install or use the Software.

1. Licence

1.1 We grant you a non-exclusive, non-transferable licence to install and use the Software on one Mac per licence, for the term of your paid licence (one year, renewed by subscription). A licence may be moved to another Mac by deactivating it on the first one.

1.2 Without a licence, the Software runs in evaluation mode, in which streams end after 10 minutes.

1.3 The Software is licensed, not sold. We keep all rights not expressly granted to you.

2. Restrictions

You may not: (a) copy the Software except for backup; (b) modify, reverse engineer, decompile or disassemble it, except where applicable law allows this despite this limitation; (c) rent, lease, lend, resell or sublicense it; (d) circumvent its licensing or any technical limitation; (e) remove or alter any proprietary notice in it.

3. Your content

Recordings, clips and streams you make with the Software are yours. You are responsible for having the rights to what you record and stream.

4. NDI®

The Software includes the NDI® runtime and uses the NDI® SDK. NDI® is a registered trademark of Vizrt NDI AB (https://ndi.video/). The NDI SDK and runtime are © Vizrt NDI AB, all rights reserved; their notices are in the "NDI Licenses.txt" file inside the Software. With respect to the NDI SDK, the NDI runtime, NDI products and any part of them, you agree that:

(i) you will not modify them;

(ii) you will not reverse engineer, disassemble or recompile them, or any protocol they use, whether transmitted or received over a network or used internally or externally to the machine (physical or virtual) they run on, and you will not attempt to do so;

(iii) you will not circumvent any technical limitation in them;

(iv) you will not remove, obscure or alter any proprietary notice or label in or on them;

(v) Vizrt NDI AB and its licensors give no warranty of any kind, express or implied, and all such warranties are disclaimed on their behalf;

(vi) to the extent permitted by applicable law, Vizrt NDI AB and its licensors are not liable for any damages, whether direct, indirect, incidental or consequential, arising from the use of the Software;

(vii) you will comply with all relevant export laws and regulations of the United States, and will not export the Software or any part of it in violation of them;

(viii) if you develop products that use the Software with NDI, you must comply with the NDI SDK licence, keep your products fully compatible with NDI, and include the terms of this section in your own end user licence agreement.

5. Other components

The Software uses the Blackmagic DeckLink SDK interface files (© Blackmagic Design, used under the DeckLink SDK licence) and the Sparkle update framework (MIT licence). Their notices are in the "Third-Party Notices.txt" file inside the Software.

6. Updates

The Software checks for updates and may install them when you choose to. We may change or end features.

7. No warranty

THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND. We do not warrant that it is free of errors or that it will run without interruption. Live broadcast carries risk: you are responsible for checking your output, keeping a delay and having a fallback.

8. Limitation of liability

To the extent permitted by law, we are not liable for indirect, incidental, special or consequential damages, or for lost profits, data or business, and our total liability is limited to the amount you paid for the licence in the twelve months before the claim.

9. Termination

This licence ends automatically if you breach it, or when your paid term ends without renewal. Sections 2, 4, 7, 8 and 10 survive termination.
